Assignment of Contract

Identify the original contract being assigned, the assignor, and the assignee. Confirm that the original contract permits assignment (check anti-assignment clauses). The assignee assumes all rights and obligations. Include representations that the assignor has authority to assign and the contract is in good standing. Obtain consent of the non-assigning party if required.
