The charter document filed with the state to form a corporation, identifying the corporation's name, registered agent, authorized shares, and incorporator. Also called a certificate of incorporation in some states such as Delaware.

The articles of incorporation is the highest governing document in a corporation . It is also known known as the corporate charter . The articles of incorporation generally include the purpose of the corporation, the type and number of shares , and the process of electing a board of directors . The articles of incorporation must be filed with the state at the time of incorporation and may be amended or repealed as permitted by law and the articles themselves.
