'This is a Prospective Purchaser Agreement. Midwest Portland Cement is being liquidated under Chapter 7 of the Bankruptcy Code. The Site is being auctioned off in a judicial sale in order to satisfy creditors'' claims, including EPA''s administrative expense priority claim of $415,285. The purchaser is unknown at this point. The U.S. will approve and sign the PPA and provide it to the bankruptcy trustee, who will present it during the auction. The winning bidder will provide its identifying information in an exhibit to the PPA and sign the signature page on the date of the closing of the sale. The purchaser must then pay $350,000 to EPA within 30 days of executing the PPA.
