Syllabus
We granted certiorari to determine whether: (1) the Receiver's appointment conforms with South Carolina law; (2) a decision from the United Kingdom, Adams v. Cape Industries plc [1990] Ch. 433, bars the Receiver from pursuing its alter ego/amalgamation theory on behalf of Respondent Cape PLC; (3) Adams impacts South Carolina's exercise of personal jurisdiction over Cape PLC and its subsidiaries, affiliates, and successors in interest; (4) Appellants have waived their personal jurisdiction defense; and (5) Appellants' previous \Release\ of claims renders the current case non-justiciable. We affirm the circuit court as modified in part, and reverse in part.
