Syllabus
<p>Corporation — Discretion of board of directors.</p> <p>In all matters involving the exercise of what may be called legislative or judicial discretion the directors of a corporation may not delegate such discretion, they can only bind the corporation by acting together as a board.</p> <p>Corporations — By-laios— Ultra vires — Statutes.</p> <p>By-laws of a corporation which provide that a quorum may consist of less than a majority of the board of directors being in contravention of the Act of May 14, 1891, P. L. 61, are invalid.</p>
