Syllabus

1. The district court erred by denying appellant's post-trial motion for judgment as a matter of law because the evidence is insufficient to prove that appellant breached the implied covenant of good faith and fair dealing by refusing to fulfill a contractual duty or obligation based on an ulterior motive. 2. The requirement that a state agency pay interest penalties to a vendor for untimely payments pursuant to Minnesota Statutes section 16A.124 (2022) applies to undisputed billings arising under a construction contract but does not apply to disputed claims under a construction contract. Affirmed in part, reversed in part.
