On June 6, 2025, the New York Stock Exchange LLC (``NYSE'' or
``Exchange'') filed with the Securities and Exchange Commission
(``Commission''), pursuant to Section 19(b)(1) of the Securities
Exchange Act of 1934 (``Exchange Act'') \1\ and Rule 19b-4
thereunder,\2\ a proposed rule change to amend Section 302.00 of the
NYSE Listed Company Manual to exempt closed-end funds registered under
the Investment Company Act of 1940 \3\ from the requirement to hold
annual shareholder meetings. The proposed rule change was published for
comment in the Federal Register on June 17, 2025.\4\

On July 25, 2025, pursuant to Section 19(b)(2) of the Exchange
Act,\5\ the Commission designated a longer period within which to
approve the proposed rule change, disapprove the proposed rule change,
or institute proceedings to determine whether to disapprove the
proposed rule change.\6\ On September 10, 2025, the Commission
instituted proceedings under Section 19(b)(2)(B) of the Exchange Act
\7\ to determine whether to approve or disapprove the proposed rule
change.\8\ On December 2, 2025, the Commission extended the period for
consideration of the proposed rule change to February 12, 2026.\9\
